Complete Marketing Solutions Terms:
Ownership and Intellectual Property:
All designs, websites, concepts, intellectual property, technology, and any products and services created by Complete Office Solutions (COS) are protected under the Copyright Amendment Act of 1980. These assets exclusively belong to COS until full payment has been received.
Copy/Printing:
Clients are responsible for verifying the accuracy of all content, including spelling, grammar, spacing, and contact details, before approving artwork.
COS assumes no liability for any errors or issues in approved artwork, content, or print work, regardless of approval method (email, telephone, or written sign-off).
Artwork:
COS cannot be held responsible for any mistakes or changes in artwork or final products once they have been approved and agreed upon by the client. If the client provides artwork, it must meet print-ready specifications.
Modifications or alterations to non-print-ready artwork supplied will incur an additional charge of R800 ex VAT per hour or part thereof.
Credit Notes:
COS does not issue cash refunds for client overpayments. Instead, a credit note will be provided for future use, unless the client or COS requests it within 7 days of the transaction.
Deposit Payments:
An agreement between COS and the client becomes effective either after a quotation is signed by the client or a 70% deposit is paid. Once the deposit payment is received, the project will commence, and deposit payments are non-refundable.
Quotes:
All quotes provided remain valid for 10 days from the date of the quote, except in cases of material price increases. Once a quote has been accepted and work has commenced or been invoiced, a 25% quote rejection fee will be charged.
Invoices:
Invoice terms require payment upon delivery (COD).
For design and development projects, a 70% deposit payment is required before the project can commence.
Accepted payment methods include COD, EFT, Card, and online payments through our website.
Accounts:
No accounts will be provided unless prior arrangements have been made.Unsettled invoices will accrue interest at a rate of 2.5% per month or part thereof.
All costs incurred by COS for unpaid invoices will be charged to the outstanding invoice(s).
No 30-day accounts are available.
Pricing:
Pricing and specifications are subject to change without notice.
Prices quoted may be adjusted due to stock availability or fluctuations in currency exchange rates.
Notice Period for Monthly Services:
To cancel any services, including monthly products or services provided by COS, a 30-day notice period is required.
Complete Office Solutions Sales Terms and Conditions
Detailed Description of Goods and/or Services:
Complete Office Solutions (COS) operates in the marketing/online/brand industry, delivering services related to design, development, online platforms, marketing, and brand agency work.
Delivery Policy:
Upon availability and receipt of payment, requests will be processed within 2 days, and delivery confirmation will be sent via email. Courier and/or postal services may be utilised, with associated costs, if applicable.
Return and Refunds Policy:
The availability of goods and services provided by Complete Office Solutions is subject to verification. In cases of unavailability, COS will issue a full refund within 30 days. Client-initiated order cancellations will incur a 20% administration fee.
Customer Privacy Policy:
Complete Office Solutions commits to taking all reasonable measures to protect the personal information of users. Personal information is defined as detailed in the Promotion of Access to Information Act 2 of 2000 (PAIA). The PAIA document can be downloaded from: [provide the correct link].
Backup and Monitoring:
Users are solely responsible for their actions while utilizing COS services. Users grant COS the right to monitor traffic data for accounting purposes and to ensure proper system operation.
COS will only use personal information provided by users for the purpose of delivering services. Users warrant that they have obtained consent from any third parties whose personal information they provide to COS.
Users grant COS the right to scan data usage logs for security purposes, protecting against malicious malware injections, data theft, and ensuring optimal service performance.
COS also reserves the right to monitor email content to prevent illegal/fraudulent communication that may harm any party. Non-compliance may result in termination of services and referral to authorities.
Payment Options Accepted:
Payment can be made via Visa, MasterCard, SID, or EFT.
Card Acquiring and Security:
Card transactions are processed by PayGate (Pty) Ltd, the approved payment gateway for South African Acquiring Banks. PayGate utilizes Secure Socket Layer 3 (SSL3) encryption, and no card details are stored on the website. To view their security certificate and policy, please visit www.paygate.co.za.
Customer Details Separate from Card Details:
Customer details will be securely stored by COS separately from any card details entered by clients on PayGate's secure site. For more information about PayGate, please refer to www.paygate.co.za.
Merchant Outlet Country and Transaction Currency:
At the time of presenting payment options to the cardholder, the merchant outlet country is South Africa. The transaction currency is South African Rand (ZAR).
Responsibility:
Complete Office Solutions takes full responsibility for all aspects of the transaction, including the sale of goods and services, customer service and support, dispute resolution, and timely delivery.
Country of Domicile:
This website is subject to the laws of South Africa. Complete Office Solutions chooses South Africa as its domicilium citandi et executandi for all purposes under this agreement, including court processes, notices, and other communications.
Variation:
Complete Office Solutions reserves the right to modify this agreement or any part thereof at its sole discretion without prior notice.
Web development:
The starting date of this project is subject to payment of a 70% non-refundable deposit. All quotations for websites exclude website hosting unless otherwise specified.
A typical project life cycle is as follows:
- Phase 1: Layout and Design >>
- Phase 2: Development >>
- Phase 3: Testing >>
- Phase 4: Final approval for launch.
If a monthly payment plan is chosen, the website will remain the property of Complete Office Solutions until full payment has been received over the agreed period. Failure to make payments will result in the website being disabled until payment has been received.
- A specified template mock-up must be approved before the next phase begins.
- All content (images and wording) must be supplied along with a detailed brief prior to project commencement. Images must be provided in either JPG or PNG ONLY, and all text must be supplied in Word format.
The layout (look and feel) will be designed within 7 – 10 working days, provided the client has supplied Complete Office Solutions with a suitable project brief and colour palette.
All changes need to be made within the design phase to avoid any project delays, changes deviating from the original brief and project scope will be excluded from the quoted price and may carry an additional charge.
A single round of amendments is allowed prior to the final launch and must be provided within 4 working days of the final submission for approval, after which the project will be considered complete and final payment will be required prior to launch.
Any further changes will be charged at the standard hourly rate.
Google Ads:
The retainer fees for our services, as detailed above, are structured on a monthly basis, requiring a minimum commitment of three months. Cancellation of the contract will necessitate one full calendar month's notice.
Every month, the management fee will be invoiced in advance and is to be paid upon receipt of the invoice.
The fees mentioned above are subject to an annual review, with adjustments made in accordance with South Africa's Consumer Price Index (CPI).
Our Google AdWords Management service, customised for your brand, includes the following key features:
Initial setup of your Google AdWords account.
A comprehensive assessment of your current online standing, including a comparison with competitors.
- Determination and allocation of your Google AdWords budget.
- Ongoing management of Google AdWords is specific to your brand or brands.
- Weekly fine-tuning of keywords and continuous review of outcomes.
Provision of detailed monthly reports on the performance of your AdWords campaigns.
Please be aware that any delay in payment of your AdWords invoice will lead to a temporary halt of your AdWords advertisements. Service will only be resumed upon the presentation of Proof of Payment to Complete Office Solutions.
Digital Marketing/Social Media:
The retainer fees for our Social Media services, outlined above, follow a monthly contract structure with a minimum duration of three months. Any cancellation requires one calendar month's notice.
Your monthly management fee will be invoiced in advance each month and is due upon receipt of the invoice.
These fees will undergo an annual review and adjustment in accordance with South Africa's Consumer Price Index (CPI).
Our Social Media Management services encompass content creation and page management, all in alignment with the Social Media Marketing plan that is mutually developed and agreed upon between Complete Office Solutions and the client. Every post will adhere to the marketing plan's guidelines.
Clients must actively participate in co-managing the page, particularly in responding to inquiries that require specialised industry knowledge, ensuring accurate and valuable information is provided.
Monthly reports will be made accessible to the client.
Paid Social Media Advertising is available as an optional extra and will be billed separately from the management fee.
While we strive to amplify your social media presence, it's important to note that specific targets or figures cannot be guaranteed. Our service is closely tied to management, focusing on time-saving and efficiency.
Please also be aware that Complete Office Solutions may charge additional fees for work that must be redone due to information provided by the customer that is illegible, inaccurate, or incomplete.
